RWA Tokenisation Licensing in the UAE
It’s Never Just “Is This Legal?”
Most founders walk into a tokenization conversation with one question: can I even do this in Dubai? It’s a fair place to start. VARA has real teeth, and getting the classification wrong is the fastest way to lose a year.
But founders who only ask the legal question tend to discover, six months and one license later, that a compliant token isn’t the same as a sellable one. The whitepaper reads like a compliance filing instead of an investment case. The reserve structure is airtight but the unit economics don’t survive diligence. Nobody outside the founding team has actually agreed to buy in.
Licensing is the entry fee. It was never the whole game.
ARVA
Asset-Referenced Virtual AssetAny virtual asset that references, represents, or derives its value from a real-world asset, or from income arising from one.
What Real-World Asset Tokenization Actually Is
Strip away the terminology and tokenization is a legal and financial exercise wearing blockchain clothing. A real-world asset, a piece of property, a private credit position, a revenue stream, a fund interest, gets represented on-chain as a token that carries enforceable rights to that underlying asset.
VARA's own posture on this has hardened: as of 2025, a tokenization proposal is no longer judged on how elegant its technology is. It's judged on whether the token confers a real, defensible legal claim. That's the definition of an Asset-Referenced Virtual Asset, or ARVA, and it now sits at the center of how Dubai regulates this category.
- 01 Licensing CategoryWhich VARA tier the token falls into, and what that means for who can issue and distribute it.
- 02 Whitepaper ObligationsThe disclosure document that has to hold up to both regulator and investor scrutiny.
- 03 Reserve Asset RequirementsHow the underlying asset is held, verified, and protected.
- 04 Ongoing Compliance ProgrammeThe reporting and governance obligations that don't end at licensing.
Get the legal substance right, and the technology choice becomes an implementation detail, not a strategy.

Here, growth isn't projected. It's executed.
The tokenized RWA market moved from roughly $256 billion in 2025 to $418.6 billion in 2026, a jump of more than 60%, and is tracking toward $3 trillion by decade's end. What makes Dubai specific: the growth here is executed deals, not projections. The Dubai Land Department has already run live tokenized property transactions through licensed platforms, putting real estate ownership on-chain years ahead of most G20 financial centers.
Being early to a market this size, in a jurisdiction actually shipping it, is a narrow window. It won't stay narrow.2022 – 2030 · Institutional consensus projections
Why Dubai Leads on RWA Tokenization
Most jurisdictions are still deciding whether tokenized assets deserve their own regulatory category. Dubai decided years ago and has kept iterating since: the 2025 ARVA classification, the Dubai Land Department's tokenized title deed pilot with licensed platforms, ADGM issuing full exchange licenses to global players, and a banking sector that is starting to offer regulated virtual asset products at retail.
Financial infrastructure, not a marketing trend.
Regulatory Philosophy · Substance Over NoveltyNone of that happened by accident. It's the result of a regulator that treats tokenization as financial infrastructure, not a marketing trend, and builds its rules around legal substance rather than technological novelty.
- Direct VARA relationship management through licensing and beyond
- Access to banking partners built for regulated virtual asset activity
- Coordination with DIFC / ADGM structures where a project needs a dual footprint
- A working network of custodians, distributors, and institutional investors already active in the region
What Can Be Tokenized: The Three Categories
An ARVA is any token that represents a legal claim to an underlying asset or right, structured, disclosed, and reserved to the standard VARA requires.
Financial Instruments & Schemes
Fund interests, private credit positions, structured notes, revenue-share instruments. This is the category EXE sees most often, because it overlaps directly with our Capital & Credit Advisory practice: a private credit facility or fund co-investment structured for tokenized distribution from day one.
Physical & Tangible Assets
Real estate, commodities, infrastructure: anything with a physical underlying that can be fractionalized and represented on-chain.
Intangible Assets, Rights & Interests
Intellectual property, royalty streams, carbon credits, contractual rights: harder to classify, and usually where the legal work matters most.
Not every token that represents value needs a Category 1 license. VARA's exempt and distributor-gated categories exist for a reason, and issuing under the wrong tier, over-licensed or under-licensed, is one of the more expensive mistakes a founder can make. Classification comes before structuring, not after.

Beyond the License: The Full Tokenization Stack
A license tells a regulator your token is allowed to exist. It doesn't tell an investor why they should buy it, and it doesn't tell an exchange or distributor why they should carry it. That's the part most tokenization advisors leave on the table, because most of them are law firms with a blockchain page bolted on.
EXE Capital was built the other way: our core is capital markets and credit advisory, which means the business model, the investor logic, and the go-to-market plan aren't an afterthought stapled to the legal work. They're built alongside it, by people who structure raises and negotiate with lenders for a living, not just people who read regulation.
A tokenization mandate with EXE runs on four tracks at once, not one:
The regulatory foundation: classification, entity structuring, whitepaper approval, and the reserve and custody framework.
One of four tracks EXE runs at once, not a checklist to clear in sequence.
The economic case: tokenomics, reserve mechanics, redemption logic, and a whitepaper written to convince an allocator, not just satisfy a regulator.

The commercial path: distribution strategy, exchange and custodian selection, pricing, and a launch sequence that matches how institutional capital actually moves.

The relationships: introductions to distributors, custodians, banking partners, and the investors who write the first checks.

Financial knowledge and regulatory precision sit at the center of all four; they're the non-negotiable. But a token that's legally perfect and commercially invisible is still a failed project.
The VARA Licensing Process
for RWA Issuers.
Three structured stages from entity incorporation to live issuance. Here's how the process unfolds, and where EXE Capital adds value at each stage.
Every EXE-structured issuance is built to survive a VARA audit and an investor's due diligence process at the same time. Those aren't the same bar, and treating them as one is how projects get stuck at the finish line.
Business Model & Whitepaper: Engineering the Offer
A whitepaper isn't a marketing document, and it isn't a legal filing either, though it has to survive being read as both. It has to explain, in a way a regulator will approve and an investor will actually believe, how the token generates or represents value, what happens to that value if the underlying asset underperforms, and how redemption works when someone wants their money back. Most of the whitepapers that stall at VARA review stall because nobody stress-tested the economics before writing the disclosure.
EXE builds the model first: token utility, reserve mechanics, yield or revenue-share logic, redemption and exit pathways, and a governance structure that can actually operate. The whitepaper follows the model, not the other way round.
- Tokenomics: supply, utility, and value-accrual mechanics that hold up under scrutiny.
- Reserve & redemption design: how the underlying asset backs the token, and how holders actually cash out.
- Governance framework: decision rights, upgrade paths, and dispute mechanics.
- Whitepaper drafting & VARA submission: the disclosure document itself, built to regulator standard from day one.
Market Entry & Ecosystem Networking
Licensing gets a token to the starting line. Distribution is what decides whether it moves.
EXE works the commercial side of a launch with the same rigor as the regulatory side: identifying the right exchange or distributor for the asset class, negotiating custody and settlement relationships, and building the investor pipeline before the token exists rather than after.
Dubai's advantage here compounds: a regulator that has already licensed distributors, banks willing to bank virtual asset businesses, and an investor base, family offices, funds, and increasingly institutional allocators, actively looking for tokenized exposure to real assets.
EXE sits inside that network, not adjacent to it.
Exchange & Distributor Selection
Matched to the asset class and the investor base it needs to reach.
Custody & Settlement Structuring
Custodian and settlement relationships built for how the token actually moves.
Investor & Allocator Introductions
Direct access to institutional allocators already active in the region.
Go-to-Market Sequencing
From pilot cohort to full distribution, sequenced like a raise, not a launch party.
